Ove godine planiram ( aBd) da pokrenem jedan posao vezan Internet, zapravo jedan malo specifičan shopping portal. O poslovanju u BiH i odnosu države prema nama koji punimo budžete, otvaramo nova radna mjesta i hranimo mnogo usta, sve je već rečeno.
Država uzima a ne daje ništa za uzvrat, čak ni puteve ne popravlja, iako u registrciji plaćemo nadoknade za to. Ako meni država ne želi vda da ono što mi pripada, ne želim ni ja njoj da da dama više nego što moram ili trebam. Zparvo ne želim da joj dam ništa jer nije zalužila. Ni ona ni njeni nesposobni, nepimeni činovnici. Imam već jedan onlina - biznis. Za takvo nešto, potreban vam je hosting gdje ćete svoju stranicu smjestiti. Hosting se i plaća, ja ga plaćam kreditnom karticom firmi iz Amerike ( Hostgator). Onad dođe da se to sve pravda poreznicima i dođete do pravdanja računa za hosting.
- Gospodine, a gdje vam je fiskalni račun za ovaj nekakv "hosting"
- ?????????!!!!!!!. Gospođo je je vrtaulna usluga, plaćena preko Interneta?
- Ne znamo mi ništa. Propisi traže fikskalni račun?
- WTF
Pošto to više neće da slušam d sijedim tetama objašnjavam šta je Internet i kako stvari rade na njemu, razmišljam da taj poso, i posao i posao koji planiram pokrenuti za nekoliko mjeseci, formalno prebcim negdje drugo. Recimo aneku egzotičnu lokaciju, recimo na Kajmanske otoke. Posao je ionako vrtualni i vezan za internet, te ssmatram nebitnim je li firma registrovana na Tahitiju ili u Sarajevo.
Malo sam tražio po netu i našao poešto.

Pogrešno je reći da se uz naziv "offshore" u Hrvatskoj povezuje sa kriminalom, jer to dolazi iz nepismenosti. Onda bi se i druga terminologija mogla tako degradirati.
Riječ "offshore" nema konačnu definiciju kada se radi o stranim tvrtkama. U mnogim državama se zakoni za sprečavanje pranja novca ne odnose na kontrolu offshore tvrtke, već na kontrolu strane tvrtke pod domaćim vlasništvom.
Offshore tvrtka se preporučuje svim poduzetnicima. Offshore tvrtke nisu samo za globalne poduzetnike.
Dalje, offshore tvrtka ne mora da ostane anonimna, može cijeli svijet da zna da neko "posjeduje" offshore tvrtku. Svrha korištenja je uvijek različita i sve zavisi od poslovne situacije poduzetnika. Nekad je potrebno da se offshore tvrtka koristi u svrhu privatnog ili anonimnog biznisa.
Ali, svaka tvrtka se može napraviti anonimnom. Na primjer, hrvatske tvrtke mogu i te kako biti anonimne, iako zakon propisuje da se vlasnici i direktori upišu u registar. Ali i vlasnici i direktori mogu svoja prava putem privatne punomoći da prenesu drugim osobama. To je način osnivanja tvrtke u Panami i u S.A.D i mnogim drugim državama.
Hrvatska tvrtka može biti za Italijana stvarna offshore tvrtka, jer bi platila mnogo manje poreze ili nikakve na dividende, prema tome mogla bi da primi cijelu godišnju dobit iz Italije i da bude minimalno oporezovana na dividende, što može nekom da znači uštedu od pola miliona eura u Italiji.
Onda taj isti Italijan, može barem privremeno i za 6 mjeseci da dobije rezidenciju u Hrvatskoj ili na Malti ili negdje drugdje, pa da zakonito isplati sebi na svoje ime cijeli taj novac.
Prema tome, offshore poslovanje je mudro korištenje prednosti iz drugih država koje ne postoje u vlastitoj državi.
Nema svrhe koristiti offshore tvrtke ako potreba ne postoji. Ali je uvijek korisno imati spremnu offshore tvrtku, jer potreba će da se desi u budućnosti. A, onda može biti kasno da se otvara offshore tvrtka.
Prvenstveno ne preporučujem korištenje offshore tvrtke u svrhu direktnog i drskog smanjenja poreza u Hrvatskoj, tako što se za fiktivne usluge šalje novac u inozemstvo. To je najgori način korištenja offshore tvrtke i može u mnogim zemljama biti kažnjiv.
Ali, sasvim je u redu koristiti offshore tvrtku u svrhu posjedovanja nekih nekretnina, drugih tvrtki, u svrhu zaštite privatnosti, zaštite imovine, registracije plovila i slično.
Opet, svaka situacija se mora pogledati i na osnovu situacije se treba napraviti ispravna struktura.
Mnogi zaboravljaju da se po pitanju registracije offshore tvrtke ne bi trebali obraćati domaćim posrednicima, jer to nisu osobe koje takve strukture dizajniraju, već laici koji se bave preprodajom dokumenata. Pri tome će zaboraviti na mnoge obaveze u koje ulaze vlasnici tvrtke, vlasnici mogu biti kažnjeni i mogu biti u većim problemima nego što su bili.
Uvijek je potrebno na osnovu argumenata i zakonskih propisa razmotriti situaciju i svrhu poslovanja, pa tek na osnovu toga vidjeti koje vrste tvrtke se mogu koristiti.

The Cayman Islands levy no taxes whatsoever on income, capital, capital gains or sales. There are no withholding taxes and no taxes on inheritance. The Cayman Islands generate revenue by the imposition of customs duties, by a stamp duty on land transfers and by other indirect means. There is no currency exchange control in the Cayman Islands.
We recommend that you obtain fiscal and legal advice from attorneys, tax and financial experts in your own country in relation to what you intend to achieve by using a Cayman Islands company. This firm will not advise on any foreign legal or other ramifications of any business or tax venture or scheme and we advise only on the laws of the Cayman Islands.
FORMATION OF A CAYMAN ISLANDS EXEMPTED COMPANY
An "exempted company" under The Companies Law of the Cayman Islands (the "Companies Law") is one whose objects are to be carried out mainly outside the Cayman Islands. The advantages afforded by the law to exempted companies over ordinary (non-resident) companies include:-
An exempted company may be granted a twenty year guarantee that it will not be subjected to taxation (even though there are presently no taxes in the Cayman Islands). Clients should consider the potential value to them of being in possession of a Tax Exemption Certificate ("TEC") in the event that taxes are ever introduced in the future in the Cayman Islands on profits/income of exempted companies. That value will of course depend very much on the level of net annual income that their exempted companies produce and in many situations that number may dwarf the government increase making TEC's still very attractively priced to some Clients.
The names of the shareholders of an exempted company are not required to be filed with the Registrar of Companies and an exempted company need only have one shareholder.
The annual reporting requirements are minimal and consist only of a statement, signed by the company secretary or a director, that the operations of the exempted company have been carried out mainly outside of the Cayman Islands, that the provisions of Section 193 of the Companies Law have been complied with (Section 193 precludes an exempted company from trading in the Cayman Islands except in furtherance of its business carried on outside the Cayman Islands) and that any bearer shares are held by a custodian.
An exempted company is permitted to issue "no par value" shares.
The name of an exempted company may be in a foreign language and need not include the word "Limited" or the abbreviation "Ltd.".
An exempted company is not required by law to hold a general meeting of its members.
INCORPORATION
A company cannot be formed until we have received funds and the completed company and due diligence questionnaires. Once received, we can usually submit a company to the Registrar for incorporation on the same day, however, it may take a week to have the completed papers returned to us from the Registrar of Companies. If you have an emergency requirement for a company, documents can be returned on an 'express basis' at an additional cost.
The information we require for incorporation is:-
The preferred name of the exempted company with at least two alternatives.
The authorised share capital of the exempted company. The majority of exempted companies are incorporated with an authorised capital of US$50,000 as this is the maximum authorised capital permitted for payment of the minimum government fee.
Any special classes of shares desired and the par value of the shares. If it is contemplated that the exempted company may wish to repurchase or redeem any of its shares at a future date then a class of specifically redeemable shares should be created, such as a class of redeemable preference shares.
The name(s) and address(es) of the beneficial owner (s) of the shares, whether the shares are to be registered or bearer, and the number of shares to be issued to each shareholder. If the shares are to be bearer shares, the name, address and references of the person to whom the shares are to be delivered must be provided to us. We must have a mailing address and the name of a contact with telephone and fax numbers.
If the objects of the exempted company are to be restricted, specific details as to the purposes and objects of the exempted company will be required. Otherwise, our standard objects clause is drawn so widely that the exempted company can undertake any business which a natural person can undertake.
The names and addresses of the directors and officers which must be filed at the office of the Registrar of Companies. A simple notice of acceptance of appointment by each prospective director and officer should also be provided. An exempted company need only have one director. It is also recommended that a company secretary be appointed. The same person may be both director and secretary.
STATUTORY COMPLIANCE
Once the exempted company has been formed, we provide the following services:-
Registered office of the exempted company.
Company secretary (or assistant secretary, if required).
Maintenance of the exempted company records and statutory registers.
Provision of draft minutes of the statutory meetings to help keep the exempted company in good standing.
All necessary returns and reports to the Registrar of Companies based on information provided to us. All transactions should be approved by the directors or officers to whom such business has been delegated.
Meaningful records of business decisions should either be prepared by us or, if we provide registered office services to the company, sent to us to ensure completeness of the company's corporate records.
DUE DILIGENCE
Cayman Islands law requires us to "know our client" and we must know the proposed activities of an exempted company to be formed by us. We must also have basic information on its proposed directors, officers and shareholders. Before we incorporate any exempted company, we require you to complete and return to us the attached due diligence questionnaire.

ANNUAL FEES AND DISBURSEMENTS
Annual fees, due in January of each year, are US$1,827 for an exempted company with the minimum authorised share capital (which includes our annual registered office fee of US$1,095 and government fees of US$732). We can provide the office of secretary or assistant secretary for US$300 per annum. We also offer mail forwarding services at a fee of US$300 per annum.
We charge between US$475-US$575 per hour for general legal work which you may require over and above the incorporation of the exempted company.

Advantages of registering a company in the Cayman Islands include the following:

Ability to form a company with only one shareholder, with no minimum capitalization requirements.
Privacy - there are well-established mechanisms for co-operation with law enforcement agencies, both locally and overseas, to assure the highest standards of probity throughout Cayman's financial industry. Within this framework, protection of the legitimate interests of clients is safeguarded. The Registrar is able to release on enquiry only the name, type of company, the date of registration, the address of its registered office, and the status of the company. Exempted Companies
Where the proposed activities of a company are to be carried out mainly outside of the Cayman Islands - offshore - the registrants can apply for registration as an exempted company.
Features of such companies include the following:
An exempted company is not required to keep a register of members open for public inspection (a requirement for resident and non-resident companies).
An exempted company is not required to hold an annual general meeting in the islands (which resident and non-resident companies must).
An exempted company may alter its Memorandum and Articles of Association without restriction, but must notify the Registrar of any changes.
An exempted company may offer shares to the public in Cayman if listed on the Cayman Islands Stock Exchange (CSX).
An exempted company may issue shares with nominal or no par value.
The annual return to the Registrar requires a declaration that:
no changes, other than those notified to the Registrar, have been made in the Memorandum of Association;
the provisions of the Companies Law have been observed
the company’s operations have been mainly outside the Cayman Islands; and
all bearer shares are kept by an approved custodian.
An exempted company is not required to include the word "Limited" or the abbreviation "Ltd." after its name.
The Registrar must give one month’s notice before taking action to strike off an exempted company.
An exempted company may express its capital in any currency or in multiple currencies.
To register, the name of the company must be acceptable to the Registrar under the provisions of section 30 of the Companies Law. The company must file with the Registrar a declaration that the operations of the registrant will be conducted mainly outside the Cayman Islands.
Transfer by Continuation
The Companies Law permits the registration of a company with limited liability and share capital which is incorporated in a foreign jurisdiction whose laws permit or do not prohibit the relocation of the company to become a Cayman Islands exempted company. The company must be constituted in a form or substantially a form which could have been incorporated as an exempted company limited by shares.
The application must be accompanied by an undertaking that notice of the transfer has been or will be given within 21 days to the secured creditors of the registrant. If the company is required to be licensed under any law, e.g., the Banks and Trust Companies Law, the Insurance Law, or the Companies Management Law, then it is prohibited from carrying on its business in or from within the Cayman Islands unless it has obtained the requisite license.
The fee payable for registration by way of continuation is the same as that payable on registration of an exempted company.
